Espresso's Kaito launchpad sale terms: $400M FDV with 1y cliff is unattractive

Thread471 words

Welcomes the Kaito launchpad but criticizes Espresso's $4M sale at $400M FDV with a one-year cliff plus one-year linear vesting. Buyers would need a roughly $800M FDV after 12 months just to break even, so a full or large TGE unlock is recommended.

Key claims
Sale FDV $400M, 1y cliff then 1y linear vesting
Breakeven on cliff unlock requires >$800M FDV 12 months after TGE
Espresso raised $63.1M total, targeting $4M in the sale
The @KaitoAI launchpad is live, and visually speaking, I have to say I like it quite a bit already. Also, with its market-leading social mapping & data analytics, Kaito is def primed to become the primary distribution channel for projects doing TGE, enabling "open, meritocratic and relevance-based" community fundraising that is backed by data rather than just FCFS. @EspressoSys (shared sequencing layer secured by @eigencloud, and aiming to enable composability among Ethereum-based rollups) will be first up, stepping onto the launchpad after raising $63.1M in total funding from investors including @a16z, @ElectricCapital and @polychain. They will be looking to raise a total of $4M, with the sale/allocation criteria yet to be announced. However, projects are free to determine their own mechanisms, and are not dependant on the existence of a Kaito LB. In Espresso's case (no current Kaito LB), I don't expect one to be launched, and the focus of the token distribution to lie on early supporters. They do have a live NFT collection ("Composables" which could be potentially relevant onchain holdings), their own "caffeinated" creators program, and can still leverage Kaito data to reward ppl who have yapped (bot pre and post sale announcement). Could also see partner ecosystems and activity there (e.g. Eigenlayer restakers), etc. play a role. Definitely excited for this first launch, and curious to see how the platform will change the game for projects looking to host public sales in the mid-long term. Having said all that: The tokenomics / launch terms of the Espresso sale look very disappointing. $400m sale FDV and 1y cliff + 1y linear vesting after that comparably low upside potential, especially given the heavy vesting terms. Can't even secure initials upon TGE, and basically have to bet that it trades at >$800M FDV 12 months after TGE, to at least be able to reach breakeven on cliff unlock. Really not keen on investing at these terms tbh, even if they built gud tech (which they did). Hope @EspressoSys rethinks at least the vesting part of things (full or at least large TGE unlock, rest linear 1y max), after all its only a very minor part of supply being sold here (to the community btw!!!). Yet, the valuation is probably not far from last VC round valuations, so don't think that will be flexible. Also pretty sure that they will list on exchanges at an even higher valuation, like many other (modular) infra projects in the past did too. So with considerable or full unlock on TGE, it can be a cook for the community, regardless of high sale FDV, and significantly drive hype + sentiment. But if terms remain as they are, I don't think this sale will see much demand or hype, and ultimately also result in a missed opportunity for Espresso to capture a lot of (positive) attention.
