CLARITY Act explained: SEC/CFTC split, token graduation and Senate odds
Quote597 words
Five-part explainer: CLARITY sorts tokens via a decentralization test, lets tokens graduate from security to digital commodity, creates CFTC registration with a 360-day rulemaking clock, and locks rules into statute. Notes the 60-vote Senate hurdle and a one-commissioner CFTC.
Key claims
House passed 294-134; Senate Banking cleared it 15-9 in May
Cloture needs 60 votes and the GOP has 53
Prediction markets price 2026 passage in the 40s, down from 74% in May
Trump is calling on the Senate to pass CLARITY.
What that means?
Let's dive in. โ

Every digital asset gets sorted through a statutory decentralization test. Securities and investment contracts stay with the SEC, while tokens on sufficiently decentralized networks become "digital commodities" under CFTC (which also handles perps) jurisdiction, including spot markets. The CFTC has never had spot authority over crypto beyond fraud cases, so this is the largest expansion of its mandate in decades. It also ends regulation by enforcement as the operating model, because jurisdiction gets defined in statute instead of decided lawsuit by lawsuit.

This might be one of the most relevant parts that most people miss. An asset sold as an investment contract can transition to digital commodity status once its network passes the decentralization test. Under the Howey test, a token that starts as a security is essentially a security forever, and that ambiguity is what the entire Gensler enforcement wave (or as Trump would say "witch hunt" lol) was built on. CLARITY replaces it with a defined path from SEC-regulated fundraise to CFTC-regulated commodity.

Exchanges, brokers and dealers register with the CFTC, with a provisional pathway so venues can operate legally while both agencies write rules on a 360-day clock. Customer assets get statutory bankruptcy protection, so no more FTX-style creditor lines needed. Meanwhile, sec 604 shields non-custodial devs and validators from money transmitter treatment (huge win for innovation in the US). Digital commodities get exempted from state securities laws, and there will be one federal regime instead of fifty. Also, BSA plus sanctions compliance gets applied to intermediaries, which is what will make the framework usable for institutions.

Atkins' SEC is cooperative, but agency posture lasts only as long as the chair who holds it (which we know too well at this point). Codifying this means the next administration cannot reverse it as easily as before with a memo. Imo, that is the actual unlock for advised and institutional capital that legally cannot touch venues operating in what is ultimately a grey zone today.

House passed it 294-134 a year ago. Senate Banking committee cleared it 15-9 in May, the merged Senate text is expected this week, combining the Banking bill (SEC side) with the Agriculture bill (CFTC side, since Ag has overseen the CFTC ever since commodity futures meant corn), with floor action eyed for the week of July 20. Cloture needs 60 votes and the GOP has 53, so at least 7 Dems have to cross (the hard part kek). Their condition is an ethics provision barring officials, including the president, from profiting off crypto, and Trump just "disclosed" ~$1.4B in crypto income for 2025 two weeks ago. That means he is asking for a bill whose main blocker is his own balance sheet / activity. Meanwhile, prediction markets price 2026 passage in the 40s, down from 74% in May, and if it slips past the August recess, analysts see mid-2027 as the earliest realistic window.
One caveat worth keeping on radar tho: even if it passes, the CFTC currently has one confirmed commissioner out of five, and game-changing rules written by a one-man commission are an APA lawsuit waiting to happen. Hence no surprise that Klobuchar (dems) has already proposed blocking the rules from taking effect until at least four commissioners are confirmed. So even the bull case comes with (yet another) rulemaking fight attached.
Would still be max bullish tho.
